Our client is seeking a Senior Officer to join their award-winning global Corporate Governance team. This role is ideal for an enthusiastic and detail-oriented professional with relevant corporate governance and/or legal experience. Job Duties:
- Assist with organising board and committee meetings, including maintaining the annual meeting schedule.
- Draft structured agendas and proactively plan for meetings.
- Attend meetings and draft accurate, detailed minutes promptly.
- Build positive, collaborative relationships with stakeholders to ensure effective governance support.
- Maintain director responsibility lists, authorised signatory lists, board action trackers, constitutional documents, and committee terms of reference.
- Monitor and promote best governance practices for committees.
- Act as secretary or assistant secretary of boards or committees if required.
- Prepare and submit event-driven filings and notifications with relevant company registries and regulators.
- Maintain statutory and non-statutory registers, including contracts, policy exceptions, conflicts of interest, and assurance certificates.
- Assist with internal CDD requests and maintain the global CDD request register.
- Arrange execution and approval or ratification of relevant documents.
- Support the maintenance of the corporate regulatory calendar, global governance records, and corporate governance framework, including adherence to the UK Corporate Governance Code.
- Oversee and maintain the centralised global governance homepage.
- Support annual board and committee effectiveness reviews.
- Assist with internal licensing approval, annual compliance confirmations, and corporate projects such as entity formation and restructuring.
- Provide governance support for annual audits and insurance renewals.
- Work with and develop trainees as part of the trainee rotation programme.
- Assist in developing checklists and guidance notes for recurring company secretarial tasks and processes.
Job Requirements:
- Experience in an in-house governance or company secretarial role.
- Prior experience in a regulated professional services environment is advantageous.
- Studying for or qualified with the Chartered Governance Institute (CGI) is advantageous.
- Working knowledge of Viewpoint, Board Intelligence, iManage, or similar platforms is beneficial.
- Strong attention to detail and accuracy.
- Well-organised, efficient, proactive, and diligent.
- Ability to work independently and manage your workload effectively.
- Discretion and good judgement.
- Good verbal and written communication skills.
- Active interest in AI and tech solutions for governance and company secretarial work.
