Our client is seeking a Senior Officer, Governance to join their in-house Corporate Governance team on a full-time, permanent basis. This is an excellent opportunity for a detail-oriented and organised individual with corporate governance or legal experience to provide first-class support to a group of entities across multiple jurisdictions. The successful candidate will support board and committee operations, ensure compliance with statutory requirements, and assist on a range of internal governance projects.
Job Duties:
- Organise board and committee meetings, maintaining an annual schedule
- Draft meeting agendas and prepare forward planning documentation
- Attend meetings and produce accurate and detailed minutes
- Maintain director responsibility lists, authorised signatory lists, action trackers, and terms of reference
- Encourage and support best practice governance for committees
- Serve as secretary or assistant secretary to boards or committees as required
- Prepare and submit filings to company registries and regulators
- Maintain statutory books, registers, and additional governance documentation
- Respond to internal CDD requests and manage the global CDD request register
- Coordinate execution and ratification of key documents
- Assist with maintaining a regulatory calendar, governance framework, and internal governance resources
- Contribute to internal board and committee effectiveness reviews
- Support internal licensing approval processes and compliance confirmations
- Assist with corporate projects including entity formation, restructuring, and jurisdiction integration
- Provide governance support during audits and insurance renewals
- Mentor trainees during governance team placements
- Help develop and maintain guidance documents and checklists for governance processes
Job Requirements:
- Experience in an in-house governance or company secretarial role
- Experience within a regulated professional services environment is advantageous
- Studying toward or qualified with the Chartered Governance Institute is preferred
- Familiarity with Viewpoint, Board Intelligence, iManage, or similar platforms is beneficial
- Strong attention to detail and organisational skills
- Proactive, diligent, and capable of working independently
- Excellent written and verbal communication skills
- Ability to exercise discretion and sound judgement
- Interest in technology and AI solutions for governance and secretarial work
