Job Description

Great role providing general Company Secretarial services to Private Equity fund structures and supporting team with projects and initiatives; attending and arranging board/committee meetings and preparing board packs and agendas; drafting minutes; reviewing draft minutes produced by junior team members; updating client company secretarial records clearly; establishing good client and team relationships; mentoring and developing co sec skills of team; recording, circulating and following-up on actions arising; making changes to directors, officers, shareholders and beneficial owners, advising authorities and updating records; formation of companies; preparing share certificates, stock transfer forms and annual confirmation statements; provision and updating of corporate documentation; share transfers and returns of allotment; terminations including liquidations, dissolutions and strike-offs; preparing director/secretary certificates and Powers of Attorney; obtaining notarised and/or legalised documents; sealing and certifying documents and extracts of minutes; preparing certificates of incumbency; requesting documents from HM Greffier and various agents.
Requirements are high organisational, minute writing skills; diligent, professional and team player; experienced in drafting complex minutes for private equity, private debt and fund of funds clients; attention to detail; company secretarial experience with Jersey as well as non-Jersey companies is desirable; become expert in technical matters relating to funds, including any fund regulatory requirements; hold (or working towards) ICSA or equivalent professional qualifications; committed and driven to achieving client excellence; pro active and forward thinking; experience in a similar role.
Five years continuous residence in Jersey required.
