Job Description

Great role providing Governance support and Secretarial administration services communicating between Board of Directors, shareholders and Senior Management; managing corporate diary and preparing agendas and meeting papers; taking minutes and drafting resolutions; maintaining Action Logs/Trackers; maintain statutory books and records; monitor changes in legislation and regulations; maintain the register of shareholders and monitor changes in share ownership; maintain Navision updates for Registers; maintain structure charts; maintain up to date Group Authorised Signatory Lists; ensure accurate and valid Due Diligence maintained upon Group Authorised Signatories with Risk & Compliance; arrange for execution of Contracts / Legal Agreements and ensure decisions recorded; ensure Annual Confirmation Statements are filed; deal with JOIC renewals; manage Safe Custody and log; manage company seals; undertake ad hoc project work.
A solid understanding of governance principles and company law and legal and regulatory environment are pre-requisite, along with an ICSA qualification or equivalent; excellent communication skills at all levels; attention to detail and a well-organised approach to work; ability to prioritise work and to work well under pressure; capability to work with numerical information, plus analytical and problem solving skills; good team player; sound knowledge of corporate governance issues; commercial awareness.
Five years continuous residence in Jersey required.
