Job Description

Great opportunity to oversee corporate governance and controls for Board & Committee Meetings and provision and maintenance of associated statutory filing, incorporations and dissolutions.  Postholder will attend and take Board Meeting Minutes; maintain action logs and trackers derived from meetings and follow up points arising; communicate decisions resulting from board and committee meetings with stakeholders; arrange for execution of contracts/legal arrangements and record decisions; ensure board documents presented and reviewed at least annually; ensure correct process followed for key person appointment and resignations; maintain minute books, share registers, register of charges and Officers and Directors registers; manage incorporations and dissolutions across various jurisdictions; report suspicious transactions to MLRO/equivalent; comply with regulatory and AML/CFT requirements; work on government and regulatory projects; monitor changes in relevant legislation, governance and regulatory environment in various jurisdictions.
At least 3 - 5 years’ experience in a similar role are required, along with good communication and organisational skills; able to prioritise; intermediate MS Office proficiency; must have at least Diploma Level recognised Company Secretarial qualification, ideally Chartered and or willingness to study towards.
Five years continuous residence in Jersey required.
