Job Description

Great opportunity supporting Company Secretary and ensuring compliance with relevant regulations, helping maintain statutory registers and minute books; undertake regulatory filings, filing of annual returns, accounts and reports, resolutions and agreements, notice of appointments/changes in company secretary/directors and returns of allotment of shares; issuing share and loan stock certificates; maintain and update contracts; prepare documents which need authenticating by notaries; prepare liability insurance renewals; help draft corporate policies and charters; help administer employee share plans and long-term incentive plans; maintain award records and performance outcome; arrange directors meetings - circulate agendas and board packs and minute meetings; review and approve service provider invoices and reviewer SLAs; assist auditors; prepare AGM documents; assist with drafting succession-planning documents; facilitate External Board evaluation process and engage external facilitator; awareness of DTRs, LRs, SEDAR, Companies Act and Code compliance requirements; arrange licence renewals; administer Whistleblowing platform.
Requirements are 5+ years Assistant Company Secretary Experience and/or in a listed company environment; administration and governance experience in Trust and Company Business; experience of OECD CRS, IRS - FATCA; good knowledge of company secretarial practice; excellent communication skills; self-motivated and able to work unsupervised; team player; ability to prioritise and work to deadlines; exceptional attention to detail; proficient in MS Word, Excel, PowerPoint and Financial systems; adaptable; strong relationship and analytical skills; financial literacy.
Five years continuous residence in Jersey required.
